By installing the Localizer library (referred also as PRODUCT or "The software"), you are accepting this License Agreement.

LICENSE AGREEMENT

I. GENERAL PROVISIONS/OWNERSHIP

All copyrights to Localizer (referred as PRODUCT) are exclusively owned by Korzh.com (referred as AUTHOR).

The AUTHOR represents and warrants that the PRODUCT and each part and component of the PRODUCT was (or will be) developed by the AUTHOR or its employees or with permission from the original authors and that no parts of the PRODUCT are or were copied from the work of any other person or company without permission for redistribution.

The AUTHOR represents and warrants that it is the legal owner of and has full right, title and interest in the PRODUCT, and that AUTHOR currently is the legal owner of distribution rights for the PRODUCT. AUTHOR further warrants to you that AUTHOR has any and all necessary authority to (i) enter into this License Agreement and (ii) make any and all grants, rights and/or licenses contained herein.

II. LICENSING

AUTHOR grants to you (as a person or company) a non-exclusive license to make and use copies of the PRODUCT in the manner provided below. The PRODUCT is licensed, not sold.

There are three possible types of license for PRODUCT: Evaluation License, Registered License (per-developer or company-wide) and Source Code License (per-developer or company-wide).

II-1. Evaluation License

AUTHOR grants to you a personal, non-exclusive license to install the PRODUCT for evaluation purposes.

The Localizer evaluation version may be freely distributed, provided the distribution package is not modified. No person or company may charge a fee for the distribution of the PRODUCT without written permission from the copyright holder. You may not distribute any portion of your or third-party products generated using evaluation version of the PRODUCT.

II-2. Registered License

The PRODUCT is licensed on a per-developer basis. After you have purchased the license for the PRODUCT you get a license key enabling the registered copy. From that time you are licensed to use the PRODUCT by the number of developers covered by the purchased license.

Licenses are assigned to named users and are not tied to particular workstations. A licensed developer may install and use the PRODUCT on as many computers as he or she needs (at work, at home, on a laptop, etc.), provided that the PRODUCT is used by that developer only.

A single-developer license (such as "Basic", "Pro" or "Developer") covers one developer. To cover more developers you may either purchase several single-developer licenses or purchase a COMPANY (site) license, which grants you (as license owner) the right to use the PRODUCT by any number of developers within one company.

There are no additional per-project, per-user or per-deployment fees: the software products you build with the PRODUCT may be distributed to any number of end users under the terms of section III.

You may not duplicate the PRODUCT in whole or in part, except that you may make copies of the SOFTWARE for backup or archival purposes.

II-3. Source Code License

A Source Code License gives you an access to the source code of the Localizer library. It is included into certain types of the license (currently "Developer" and "Company") - please refer to the pricing table on the Korzh.com web-site for the current list. You can use provided source code to build your own software products and then distribute created products in binary code without any limitation but neither the source code nor modified source code of the PRODUCT may be distributed by you to any third party. The PRODUCT source code must be protected as your own and you expressly and unequivocally agree to be bound by the acts of your employees and agents. You may modify the PRODUCT source code, however such modifications do not constitute ownership of the source code. Modifications to the PRODUCT source code may not be sold, transferred or published in any manner whatsoever. Licensing of the PRODUCT source code does not constitute a transfer of ownership under the terms of this agreement, and the PRODUCT remains owned and copyrighted by AUTHOR.

III. DISTRIBUTION RIGHTS

Either Registered License or Source Code License grants its owner the rights to freely distribute any of PRODUCT parts that are designated as "redistributable" with his/her software products generated using Localizer.

The list of redistributable parts of the PRODUCT is limited by the following items:

  • Language Manager program that is installed together with Localizer or can be downloaded separately from the Korzh.com web-site;
  • any data files created by Localizer for example language files (e.g. program.de.lng) or resource DLL files (e.g. program.EN or programname.UK).

You have a royalty-free, fully paid-up, worldwide right to distribute the portions of the PRODUCT designated as "redistributable" only if:

  1. You have purchased a Registered or Source Code License for the PRODUCT and hold a valid license key for the PRODUCT or/and an active license associated with your account on the Korzh.com web-site;
  2. You distribute only the portions of the PRODUCT designated as "redistributable";
  3. Your software product may not, in the reasonable opinion of AUTHOR, directly compete in form and function with Localizer;
  4. You are solely responsible for your own software product(s) created using Localizer, including their design, testing, security, regulatory compliance and fitness for your purposes. AUTHOR has no responsibility or liability, either to you or to any third party, arising out of your software product(s); and
  5. You distribute the "redistributable" parts of PRODUCT only in conjunction with your own software product(s) which has(have) reasonably significant functional additions to basic functionality provided by Localizer.

Where you are legally able to give such an undertaking, you agree to indemnify AUTHOR from any and all claims or lawsuits, including lawyer's fees, that are brought by third parties and that can arise or result from the use or distribution of your software product(s) created using Localizer. If you are prohibited by applicable law from giving such an undertaking, this paragraph does not apply to you and does not affect your rights under this section - see section VI below.

Any type of license (including evaluation license) allows you to distribute (print, publish, post on forums or newsgroups, etc) any code examples that use Localizer API (Application Programming Interface) including sample projects installed with Localizer.

IV. TERMINATION OF THE AGREEMENT

AUTHOR may terminate this license agreement if you (as license owner) fail to comply with the terms and conditions of this agreement and do not cure any failure to comply within thirty (30) days from notice by AUTHOR. In such event, you must destroy all copies of the PRODUCT. You may terminate this license at any time by destroying all copies of the PRODUCT.

V. LIMITED WARRANTY AND LIMITATION OF LIABILITY

PRODUCT is distributed "AS IS". The AUTHOR expressly disclaims any warranty for the PRODUCT either express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. The AUTHOR is not liable for any damage, caused by use or inability to use the PRODUCT.

To the maximum extent permitted by applicable law, the total aggregate liability of AUTHOR arising out of or related to this Agreement or the PRODUCT shall not exceed the amount actually paid by you to AUTHOR for the license to the PRODUCT.

To the maximum extent permitted by applicable law, AUTHOR shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business or data, however caused and on any theory of liability, whether or not AUTHOR has been advised of the possibility of such damages.

Nothing in this Agreement excludes or limits any liability to the extent that such exclusion or limitation is not permitted by applicable law.

VI. GOVERNMENT AND OTHER PUBLIC LICENSEES

If you are an agency or instrumentality of the United States Government, or any other entity that is prohibited by applicable law from providing an indemnity (including, without limitation, by reason of the Anti-Deficiency Act, Title 31, US Code, Sections 1341 and 1517), then:

  1. The indemnification paragraph of section III does not apply to you, and compliance with it is not a condition of your rights under this Agreement. The numbered conditions listed in section III continue to apply;
  2. In its place, you agree to promptly consider and adjudicate any and all claims which may arise out of this Agreement resulting from the actions of your duly authorized representatives, or your contractors, and to pay for any damage or injury as may be required by Federal law. Such adjudication will be pursued under the Federal Tort Claims Act, 28 U.S.C. Section 2671 et seq., the Federal Employees Compensation Act, 5 U.S.C. Section 8101 et seq., or such other legal authority as may be pertinent;
  3. No other provision of this Agreement is modified.
